Private placement is supposed to be for the sophisticated investor, who fully understands the risk he/she is taking by investing in such securities. Should the regulators be worried about private placements?

I believe the capital market will in the long run be the winner, because it is expected that most of these placements will eventually go public, which will further deepen the market.
